SOUTHWEST ASSOCIATION OF NEIGHBORS (SWAN) CONSTITUTION
ARTICLE I - NAME
This organization shall be called the SOUTHWEST ASSOCIATION OF NEIGHBORS. The designation "SWAN" OR “S.W.A.N.” shall also refer to this group when used in this document, as well as any other publication media.
ARTICLE II – BOUNDARIES
The Southwest Association of Neighbors ( SWAN )includes the area bounded by Schroyer on the West, Market on the East, the south side of Tuscarawas Avenue on the North, and 9th Street on the South. Boundaries may be re-defined as necessary by recommendation of the SWAN board and approval of the neighborhood liaison of the Stark Community Foundation.
ARTICLE III - PURPOSE
The purpose of this group shall be to improve the Southwest Neighborhood of Canton, Ohio, to promote joint efforts between businesses, government, and the people within a culturally diverse community, to promote coordinated effort, good fellowship, safety, and well-rounded community development for all age groups. For legal and other related purposes, the group is formed as a non-profit organization.
ARTICLE IV - MEMBERSHIP
Any person who lives within the boundaries of the SOUTHWEST ASSOCIATION OF NEIGHBORS, does business therein, or has interest in promoting the improvement of this portion of Canton may become a member of the group.
ARTICLE V - MEETINGS
Meetings of the SOUTHWEST ASSOCIATION OF NEIGHBORS shall be held at a date, time and location as specified by the Board of Directors.
ARTICLE VI - OFFICERS
The officers of SWAN shall be defined in the BY-LAWS to allow for increase in offices as the group grows and the need arises.
ARTICLE VII - VACANCIES
SECTION 1. If the office of President becomes vacant, the Vice-President shall assume all duties of the President until a special election can be held to elect a new President. This special election must be held within 60 days of the vacancy.
SECTION 2. Any other vacancy on the Board of Directors shall be filled temporarily by appointment by the majority of the remaining Board members. The appointee shall have no voting privileges. A special election will be held within 60 days to fill the vacancy.
ARTICLE VIII - COMMITTEES
Committees shall be as defined in the BY-LAWS, with ad hoc committees to be appointed by the President as required.
ARTICLE IX - FINANCES
SECTION 1. All funds collected shall be used solely for purposes designated by SWAN.
SECTION 2. All financial activities shall be accurately monitored and reported regularly to the membership as specified in the BY-LAWS.
ARTICLE X - AMENDMENTS
Amendments to this Constitution may be made at any time by a two-thirds vote of those present age 18 or older at the regular monthly meeting. Proposed amendments must be given, in writing, to the President no less than one (1) month prior to taking a vote in order that the proposed amendment can be presented at the monthly meeting preceding the vote.
ARTICLE XI - BY-LAWS
BY-LAWS for the transaction of group business may be adopted, revoked, or amended at any time by a majority affirmative vote of the members present at the regular monthly meeting.
ARTICLE XII
The constitution of the organization known as the SouthWest Association of Neighbors (S.W.A.N. or SWAN) shall be approved by a 2/3 vote of the voting members present at the SWAN community meeting.
